Terms of Service
These Terms of Service ("Terms") are an agreement between you and Githon LLC ("Githon", "we", "us"). They apply to your use of ioenv, including the website at ioenv.com, the dashboard at app.ioenv.com, the ioenv API, CLI, and SDKs, and other services we operate under the ioenv.com domain (together, the "Services"). If you use the Services for an organization, you accept these Terms for that organization.
By using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1. Accounts
You must give accurate information when you create an account, and you must be at least 16 years old. You are responsible for all activity under your account and for keeping your credentials, API tokens, and proxy tokens secure. Tell us immediately at security@ioenv.com if you think your account is compromised.
2. Your content
You keep all rights to the variables, secrets, keys, and other content that you store in the Services ("Your Content"). You give us a limited permission to host, process, and transmit Your Content only as necessary to provide the Services to you. You are responsible for Your Content and for having the right to store and use it.
3. Acceptable use
You must not:
- Break the law or violate the rights of others.
- Store or send malware, or use the Services to attack other systems.
- Try to get unauthorized access to the Services or to other users' data.
- Interfere with or overload the Services, or get around usage limits, rate limits, or plan limits.
- Use the AI proxy in violation of the terms of the AI provider that you select.
- Resell the Services without our written permission.
4. AI proxy and third-party services
The AI proxy forwards your requests to third-party AI providers with credentials that you supply. Your use of each provider is subject to that provider's terms, and you are responsible for the charges that the provider bills to you. Budgets and alerts in ioenv help you control spend, but they do not guarantee that a provider will not charge you. We are not responsible for third-party services, including their availability and their output.
5. Plans, payment, and cancellation
Some features need a paid plan. Paid plans are billed in advance through Stripe and renew automatically each billing period until you cancel. You can cancel at any time. The cancellation takes effect at the end of the current billing period. Fees are not refundable, except where the law requires a refund. We can change prices with at least 30 days' notice. The new price applies from your next billing period.
6. Availability and changes
We work to keep the Services available and secure, but we do not guarantee that the Services will be uninterrupted or error-free. We can change, add, or remove features. If we remove a material feature of a paid plan, we will tell you in advance.
7. Suspension and termination
You can stop using the Services and delete your account at any time. We can suspend or terminate your access if you materially break these Terms, if you do not pay fees that are due, or if we must do so to protect the Services or other users. When it is reasonable, we will give you notice and time to export Your Content.
8. Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GITHON WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA. GITHON'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AND (B) US$100.
10. Indemnity
You will defend and indemnify Githon against third-party claims that arise from Your Content or from your violation of these Terms or of the law.
11. Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules. The state and federal courts located in Wyoming have exclusive jurisdiction over any dispute related to these Terms or the Services, and you and Githon consent to that jurisdiction.
12. Changes to these Terms
We can update these Terms from time to time. We will post the new version on this page and change the effective date. If the changes are material, we will notify you by email or in the Services at least 30 days before they take effect. If you continue to use the Services after the changes take effect, you accept the new Terms.
13. General
These Terms and the Privacy Policy are the entire agreement between you and Githon about the Services. If a court finds part of these Terms unenforceable, the rest stays in effect. If we do not enforce a right, we do not waive it. You cannot assign these Terms without our consent. We can assign them as part of a merger, acquisition, or sale of assets.
